1. Agreement Overview

Welcome to Sampad, a business management SaaS platform operated by Gyanovate Corp Private Limited ("Gyanovate", "we", "us", "our"). By registering for, accessing, or using Sampad (including website getsampad.com and associated integration webhooks), you ("Client", "User", "Business Customer") agree to be bound by these Terms of Service.

2. WhatsApp Business API & Meta Messaging Policies

A. Customer Opt-In Consent Requirement

Clients are strictly required to obtain explicit, affirmative opt-in consent from their end-customers before initiating any transactional notification messages (e.g., invoices, payment links, dispatch confirmations) via Sampad's Meta WhatsApp integration.

B. Prohibited Content & Anti-Spam Rules

Clients shall not send unsolicited bulk promotional broadcasts, spam, deceptive material, or messages containing prohibited content under Meta guidelines. Gyanovate Corp Private Limited reserves the right to immediately suspend or terminate access to Meta API messaging services for any Client violating these rules.

C. Template Usage & Approval

Outbound automated notifications must utilize pre-approved Meta message templates. Gyanovate provides template management tools, but ultimate approval rests with Meta Platform review policies.

3. Service Scope & Availability

Sampad provides unified billing, GST compliance, inventory control, sales CRM, and integrated WhatsApp customer communication tools. While we maintain a 99.9% target service uptime, access to third-party APIs (including Meta WhatsApp Business API) is subject to third-party network availability and Meta infrastructure updates.

4. Client Responsibilities & Account Security

Clients are responsible for maintaining the confidentiality of their Sampad login credentials, Meta OAuth authorization tokens, and WABA credentials. Clients agree to immediately notify Gyanovate at business@gyanovate.com upon becoming aware of any unauthorized access or security breach.
